RESBUD SE is planning to increase its shares in Energokomplekt OOO, Conpol sp. z o.o. and Uniwersim sp. z o.o. companies

On 7 September 2020 the Ordinary General Meeting (“OGM”) of RESBUD SE shareholders voted in favour of increasing the Company’s share capital up to 31.66 million EUR (currently 1.99 million EUR) through non-cash contributions of shares in Energokomplekt OOO, Conpol sp. z o.o., and Uniwersim sp. z o.o. In return, the shareholders of the said companies will take possession of up to 269,697,411 newly issued RESBUD SE shares altogether.

Increasing the share capital is a part of the new RESBUD SE development strategy and the change of a major shareholder in 2019. The goal is to become a modern and dynamically growing European holding company present – through their daughter companies – on the overall construction, power, and civil engineering markets, and also dealing with manufacturing, logistics and delivery of materials and equipment for the construction and power sectors.

The Company’s shareholders have also decided to accept RESBUD SE annual report for 2019 and allocate all profit from the previous year (almost 35 thousand EUR) to supplementary capital.

The new RESBUD SE shares will be offered to the shareholders of Energokomplekt OOO, Conpol sp. z o.o. and Uniwersim sp. z o.o. in return for letting RESBUD SE hold shares in these companies. The exact number of shares to be offered to new shareholders will be determined based on the number of shares that Energokomplekt OOO, Conpol sp. z o.o. and Uniwersim sp. z o.o. agree to cede to RESBUD SE and a valuation of the shares in the three companies.

The share subscription period will be 30 calendar days (starting in 21 calendar days from adopting the relevant resolution and continuing for 30 calendar days). If there are no subscriptions, RESBUD SE Management Board may extend the subscription period or cancel the new shares that no one subscribed with the original subscription period. If the new share are subscribed by a new deadline set by the Company’s Management Board, the subscription will be deemed valid.

According to the OGM’s resolution, the shares will be issued at a par value of 0.11 EUR per new share and a minimum premium of 1/3 of the nominal value, i.e. 0.0367 EUR per new share. The Supervisory Board may increase the premium before the subscription begins.
